POSITION SUMMARY: The Senior Corporate Counsel – Corporate Services is responsible for providing legal counsel and advice on matters handled by the Legal Department’s Corporate Services team with an emphasis on real estate transactional matters, projects and initiatives.

PRINCIPAL RESPONSIBILITIES:

  • Provides legal and professional support to Company personnel regarding all aspects of real estate matters that impact the Company’s delivery of waste, recycling and environmental services to commercial, industrial, municipal and residential customers

  • Provides advice and counseling to internal clients including corporate real estate team, operations and other corporate personnel regarding real estate matters and other matters within the Corporate Services team, including support on business development, infrastructure and construction, facilities, tax, rail and other matters

  • Reviews, analyzes, and contributes to the negotiation, drafting and modification of various types of contracts and other transactional legal documents, including real estate purchase and sale documents, lease documents, easements, condemnation settlements, confidentiality and nondisclosure agreements, term sheets and letters of intent

  • Reviews and analyzes title reports and surveys

  • Drafts and otherwise contributes to reports to the Company’s Chief Legal Officer, senior management and auditors

  • Prepares legal budgets and recommends legal reserves

  • Selects and manages outside counsel and legal spend

  • Collaborates with other members of the legal department with respect to issues that require subject matter expertise

  • Provides training to management, corporate and field personnel

  • Assists with creating, updating and maintaining agreement templates and policies and procedures associated with the Corporate Services legal team support responsibilities

  • Performs special projects in support of the legal team’s goals and initiatives

  • Works extended hours, as required

  • Overnight travel may be required

  • Performs other job-related duties as assigned or apparent

QUALIFICATIONS:

  • Minimum of eight years of experience performing the types of legal work listed above (preferred)

  • Experience working in a large, multi-state corporate or legal environment

  • In-house counsel experience

  • Knowledge of federal, state, and local statutes and regulations applicable to publicly traded organizations

  • A proven track record demonstrating the ability to independently make decisions regarding complex legal and corporate issues

  • Outstanding written and oral communications

  • Outstanding organizational and time management skills

  • Strong collaboration skills

  • Excellent judgment

  • High integrity

MINIMUM QUALIFICATIONS:

  • JD; licensed to practice law and in good standing

  • Minimum of six years of experience as a practicing attorney
